BYLAWS OF MINNESOTA NATURISTS

Minnesota Naturists1.0. PURPOSE

1.1. The purpose of this organization is to encourage acceptance of the human body and of nudity as its natural state; to expand the opportunities for people in our region to be nude, individually and socially; to increase public acceptance of nudity; and to advocate public policy that is more accepting of nudity.

2.0. MEMBERS

2.1. Membership in this organization is open to any person who has reached the age of majority in the State of Minnesota and who subscribes to the purpose stated in these bylaws, whose interests are not adverse to the purposes of Minnesota Naturists and its membership and who pays any dues established by action of the Board of Directors.

2.2. The board of directors may establish discounted membership rates, including discounts for members sharing an address, members who contribute to the operations of Minnesota Naturists and to honor individuals who have provided unique and exemplary contributions to the Minnesota Naturists or to the Naturist community.

2.3 Membership is voluntary. A member may terminate their membership at any time. Membership is conditional upon timely payment of dues. Membership may be revoked, for cause, by two-thirds vote of the Board of Directors. Members are entitled to pro-rata refund of any annual fee they have paid, upon request, following resignation or revocation of membership rights.

2.4. A member is responsible for providing either a mailing address or an electronic mail address at which they consent to receive required notice. Failure to provide and maintain a current mailing or electronic mail address shall constitute waiver of notice.

2.5 The Board of Directors may limit meetings or activities to attendance by members only. The board may also establish policies allowing attendance by those considering and otherwise eligible for membership, including limits on the number of events or type of event that may be attended or a limit on the number of non-members attending an event. The board may establish policies allowing attendance at events by members of other organizations that are compatible with the purpose of Minnesota Naturists. Any individual who is not a member of Minnesota Naturists shall pay any activity, admittance or other fee expected of members and may be additionally charged a non-member fee.

2.6. The Board of Directors may designate specific meetings or activities suitable for attendance by minors when accompanied by parents or other legally responsible adults and to establish suitable policy regarding supervision and protection of minors.

3.0. MEETINGS

3.1. An annual meeting of the membership of this organization must be held in September at a time and location set by the Board of Directors. Should the Board of Directors fail to set a time and place for the annual meeting before the 25th day of August, the time and location shall be set by the president.

3.2. Special meetings of the members may be called in accordance with statute.

3.3. Notice of the annual membership meeting must be given at least 21 days in advance of the meeting. Notice requirements are otherwise according to statute.

3.4. Quorum for a meeting of members is seven members.

4.0 BOARD OF DIRECTORS

4.1 The Board of Directors shall consist of seven members until the 2008 annual meeting. At that time, the Board of Directors shall consist of five members.

4.2 Each director shall be elected for a one-year term.

4.3 A director who had been previously elected to a longer term shall be entitled to serve the full term to which they were elected. Should the director resign or otherwise vacate their position, any director appointed as their replacement shall serve until the next annual meeting.

5.0. OFFICERS

5.1. The officers of this organization are a president, a recording secretary, an archivist, a treasurer, and a membership recorder..

5.2 The duties of the president and treasurer shall be as defined in governing statute.

5.3 The recording secretary shall prepare minutes of each meeting of the Board of Directors and of the membership and present the minutes for approval at the next meeting of each body.

5.4 The archivist shall maintain copies of the Articles of Incorporation, Bylaws and approved minutes of each meeting. The archivist shall also maintain a current list of policies based upon and referencing the minutes of the meeting in which they were adopted and of subsequent amendments.

5.5 The membership recorder shall maintain a current list of members and process new members, renewals and resignations. The membership recorder shall maintain and provide the contact information needed to provide notice of all membership meetings.

5.5 Officers are to be elected by the Board of Directors at its first meeting following the annual membership meeting and serve until their successor is elected or until they resign, are removed by action of the Board or otherwise vacate their office.

5.6 The officers need not be directors.

5.7 The president may not simultaneously serve as the recording secretary or the treasurer. One person may otherwise hold more than one office.

6.0. AMENDMENTS

6.1. These bylaws may be amended at a meeting of the membership by a two-thirds majority vote of those present if the meeting notice includes the substance of the proposed amendment(s).
